Agreement to these Terms

These Terms of Service (the "Terms") are a binding agreement between you and Rankless ("Rankless," "we," "us," or "our") governing your use of rankless.io, our trainings and webinars, our programs and software tools, and related services (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and "you" includes it.

The Services

The Services include educational content, live and recorded trainings, software tools, and related materials designed to help businesses understand and improve their visibility in AI-powered recommendation and discovery systems. We may modify, suspend, or discontinue any part of the Services at any time without liability to you, except as expressly provided in these Terms.

Eligibility and accounts

The Services are intended for business use by individuals 18 or older. You agree to provide accurate information, keep your credentials confidential, and accept responsibility for all activity under your account.

Purchases and payment

Prices and payment terms are as presented at checkout. You authorize us and our payment processors to charge your payment method for the amounts due, including any applicable taxes. We may change pricing at any time on a prospective basis. Except as provided in Section 5 (the 60-Day Conditional Guarantee) or as required by applicable law, all sales are final and fees are non-refundable.

60-Day Conditional Guarantee

Where we expressly advertise a program as covered by our 60-day guarantee, you may request a full refund of the purchase price for that program if all of the following conditions are met:

(a) you completed all core training modules of the program;

(b) you deployed the agents as directed in the program materials;

(c) you experienced no measurable improvement in AI-recommendation visibility during that period, as assessed using the measurement methodology designated in the program materials;

(d) your refund request is received no later than 14 days after the end of the 60-day period, together with documentation reasonably sufficient to demonstrate (a) through (c); and

(e) neither you nor your business has previously received a refund under this guarantee.

We will assess whether the conditions are met in our reasonable discretion. Approved refunds are issued to the original payment method. Upon refund, your license to the program and its materials terminates, with certain exceptions where stated. This guarantee applies only to the purchase price of the covered program and does not cover any other costs or amounts.

No guarantee of results

The Services are educational and informational. Except for the guarantee described in Section 5, we make no promises about outcomes. Results depend on many factors outside our control, including the behavior of third-party AI systems, your market, and your execution. Any case studies, examples, or testimonials describe specific situations and are not a promise of typical or similar results. Nothing in the Services is legal, financial, tax, or other professional advice.

Intellectual property and license

The Services and all related content, materials, software, and trademarks are owned by Rankless or its licensors. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use purchased materials for your own internal business purposes. You may not share, resell, sublicense, publish, teach from, or otherwise redistribute the materials, in whole or in part. If you provide feedback, we may use it without restriction or compensation.

Acceptable use

You agree not to: use the Services in violation of applicable law; copy, scrape, or harvest content or data from the Services; interfere with or disrupt the Services; misrepresent your identity or affiliation; circumvent access controls or usage limits; or use the Services or materials to develop a competing product or service.

Third-party platforms and AI systems

The Services relate to, and may interoperate with, third-party platforms and AI systems (such as search engines, advertising platforms, and AI assistants) that we do not control. Those systems change frequently and without notice, and your use of them is governed by their own terms. We are not responsible for the availability, behavior, or output of any third-party platform or AI system.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) RANKLESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) RANKLESS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100 IF YOU HAVE PAID NOTHING. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnification

You will indemnify and hold harmless Rankless and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms or applicable law.

Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, with no refund except as provided in Section 5 or required by applicable law. Sections that by their nature should survive termination (including Sections 6, 7, and 10 through 15) survive.

Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Washington, and you consent to their jurisdiction. To the extent permitted by law, you waive any right to a jury trial and to participate in a class action, and any claim must be brought within one year after it accrues.

Changes to these Terms

We may modify these Terms at any time by posting the updated version on this page and updating the effective date above. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
